Terms of Service

These Terms of Service ("Terms") form a legal agreement between you and Members Collect, Inc. ("Members Collect," "we," "us," or "our") and govern your use of our website, products, and services (collectively, the "Services"). By using the Services, you agree to these Terms.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for keeping your account credentials secure and for all activity under your account.

2. The Services

Members Collect provides software for membership organizations to collect payments, manage members, and automate communications. We may add, modify, or remove features at any time, and will provide reasonable notice of material changes.

3. Fees & payment

Fees are presented before you subscribe and may include a per-transaction processing fee. Fees are exclusive of taxes unless stated otherwise. You authorize us (or our payment processor) to charge your designated payment method on a recurring basis until you cancel. Failure to pay may result in suspension of the Services.

4. Acceptable use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose.
  • Upload content that infringes on another person's rights or violates applicable law.
  • Attempt to interfere with the security or integrity of the Services.
  • Reverse engineer, scrape, or copy the Services except as permitted by law.
  • Resell or sublicense access without our written consent.

5. Customer data

You retain ownership of all data your organization uploads to the Services ("Customer Data"). You grant Members Collect a limited license to host, process, and display Customer Data solely to provide the Services. You are responsible for ensuring you have the right to provide Customer Data to us.

6. Intellectual property

The Services, including all software, designs, and trademarks, are owned by Members Collect or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7. Third-party services

The Services integrate with third-party services (e.g. Stripe, Xero, email providers). Your use of those services is governed by their terms, and we are not responsible for them.

8. Termination

You may cancel at any time from your account settings. We may suspend or terminate your access if you violate these Terms or if required by law. On termination, your right to use the Services ends and we may delete Customer Data after a reasonable retention period.

9. Disclaimers

The Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Members Collect's total liability arising from the Services in any 12-month period shall not exceed the fees you paid us in that period. We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify Members Collect against claims arising from your misuse of the Services, your Customer Data, or your violation of these Terms or applicable law.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Virginia, unless mandatory consumer law provides otherwise.

13. Changes to these terms

We may update these Terms from time to time. If we make material changes, we'll notify you in advance. Continued use of the Services after changes take effect constitutes acceptance.
